## Our Licence and Registration

The Financial Markets Conduct Act requires us to hold a current licence for our Financial Advisers to provide financial advice services to you on our behalf. We are a Financial Advice Provider (**FAP**) licenced by the **Financial Markets Authority of New Zealand (FMA)**.

ICIB-BW holds a **Class 2 FAP Licence**.

As a Licenced FAP we have standard conditions on our licence. These conditions are not specific to us and do not limit or restrict the advice we may provide. We are licenced to provide financial advice on Insurance Products and that advice will be provided to you through our registered financial advisers.

## Our Terms of Business

Our Standard Terms of Business (**TOB**) can be found on our website at https://www.icib.co.nz/policies/terms-business. Our TOB set out the terms and conditions on which we will provide you with our services and apply to all the services we provide unless we agree otherwise in writing.

## Our Income

We may charge fees for financial advice. The fees we charge are for our services and the placement, implementation, and administration of the insurance policies that you choose to accept and purchase. These fees apply if you act on our advice and purchase insurance through ICIB-BW. If you do not purchase insurance through us, no fees will apply (unless we specifically agree otherwise with you).

In respect of Fire and General insurance, the amount of our fees varies depending on a number of factors, including the number for policies you choose to purchase, the policy type(s), the insurer(s), the scope of our services (including the extent of our review and the information disclosed to us), and are subject to minimum fees. We will determine our fees and add them to the invoice (as a separate item) for the insurance that you purchase through us. You may request an estimate of our fees at any time.

ICIB-BW may earn commission when you accept my financial advice and purchase an insurance policy. The commission is paid to ICIB-BW by the Insurance Product Provider (**Insurer**) on each policy that you purchase. The commission paid to us differs by insurer and the type of policy you purchase as follows:

### Fire and General Insurance (non-life and health insurance)

The commission paid to us ranges between **12.5% and 30%** of the insurance premium (excluding government levies and taxes)

### Life and Health Insurance

The commission paid to us ranges between **10% and 240%** of the insurer premium when the policy is first purchased. On renewal of the policy, the commission paid to us ranges between **5% and 30%** of the insurer premium. It is important to note the level of commission does not affect your premium

### Group Risk and Health Insurance

The commission paid to us ranges between **5% and 30%** of the insurance premium (excluding government levies and taxes)

In respect of Fire and General insurance policies, payment of the premium, including any associated charges, are due within the credit terms which are shown on our tax invoice(s). We may also earn investment income from the handling of premium funds. Should you require us to arrange Premium Funding facilities for you, we may receive commission from the premium funding company in connection with your premium funding facilities.

## NZbrokers Management Limited

We are a member of NZbrokers Management Limited (**NZb**). NZb provides services such as IT, education, training, technical insurance product, claims support, and group member benefits to us. When you accept our financial advice and purchase a policy, NZb may receive a service fee or technology fee from the Insurer.

## AUB Group NZ Limited

Our parent company, AUB Group NZ Limited, may receive a service fee from the insurer when you accept financial advice from ICIB-BW and purchase an insurance policy.

In some cases, we may refer you or advise you to use the services of one of our related body corporates, for example one of the underwriting agencies within the AUB Group. All placements and referrals will be made independently and without any undue influence to ensure objectivity.

## Conflicts of Interest

To ensure that we prioritise your interests above our own, we follow an advice process that ensures recommendations are made on the basis of your individual needs and circumstances (and not based on other factors, such as the amount of commission we may receive). Our advisers complete annual and ongoing training about how to manage conflicts of interest, and a register is maintained. We monitor this register and provide additional training to our advisers where necessary. We perform an annual review of our compliance programme.

You should be aware that there are potential conflicts of interest that you may need to take into consideration when you decide to seek and accept financial advice from us. We will make you aware of any conflicts when giving advice.

## Our Commitments

Our advisers will provide you with financial advice on ICIB-BW's behalf. When providing financial advice to you, our advisers will:

- Treat you fairly and act with integrity
- Only recommend products or services that meet your needs
- Give priority to your interests
- Provide you with a Personal Disclosure Statement
- Keep your information safe
- Abide by the Code of Professional Conduct for Financial Advice Services (**Code of Conduct**) (which includes meeting the standards of competence, knowledge and skill, ethical behaviour, conduct, and client care set out in the Code of Conduct)
- Exercise care, diligence, and skill

## Complaints

If you have a problem, concerns, or you are dissatisfied with either a product or financial advice service that has been provided by us or one of our advisers, please tell us so that we can help to resolve the matter. You can make a complaint by completing our online Complaint Form.

If you are unhappy with the outcome of our Complaints Process, you can contact Financial Services Complaints Limited (**FSCL**) – A Financial Ombudsman Service. ICIB Brokerweb collects and shares your personal information to provide insurance broking services. We may collect your personal information directly from you and indirectly from third parties located either in New Zealand and/or overseas. We may also share your information with third parties (including insurers, loss assessors, and other service providers) where necessary to provide our services. In some circumstances, overseas recipients may not be subject to privacy laws that provide the same level of protection as those in New Zealand. Where we are unable to ensure comparable privacy safeguards apply, we will seek your authorisation before disclosing your personal information to those recipients.
